PARTIES

This Affiliate Program Agreement (“Agreement”) is entered into by and between:

  • AZOWI FASHIONS, a sole proprietorship registered in Agra, India (“Company”)
  • The individual affiliate (“Affiliate”) accepting these terms

1. DEFINITIONS

1.1 “Affiliate” means an independent contractor authorized to market Company’s products. 1.2 “Commission” refers to compensation earned through verified product sales. 1.3 “Intellectual Property” encompasses all trademarks, copyrights, and proprietary materials.

2. AFFILIATE ENGAGEMENT

2.1 ELIGIBILITY CRITERIA

  1. Must be legally competent to enter contractual arrangements
  2. Minimum age as prescribed under Indian Contract Act
  3. Possess verifiable digital marketing capabilities d) Maintain ethical business standards

2.2 REPRESENTATIONS AND WARRANTIES

The Affiliate hereby represents and warrants:

  1. All provided information is accurate and complete
  2. Compliance with applicable legal regulations
  3. Possession of necessary digital marketing infrastructure
  4. No existing contractual impediments

3. COMMISSION STRUCTURE

3.1 COMPENSATION TERMS

  1. Base Commission Rate: Ten Percent (10%) per verified sale
  2. Minimum Disbursement Threshold: Fifty United States Dollars (USD $50)
  3. Performance Incentive: Additional Fifty United States Dollars (USD $50) upon exceeding One Thousand United States Dollars (USD $1,000) monthly sales

3.2 PAYMENT MODALITIES

  1. Payment Methods: PayPal, Bank Transfer
  2. Disbursement Frequency: Monthly, subsequent to product return period
  3. Currency Conversion: Standard international exchange rates

4. PROMOTIONAL PROTOCOLS

4.1 MARKETING GUIDELINES

  1. Exclusively target relevant consumer demographics
  2. Utilize legal and ethically compliant promotional strategies
  3. Mandatory affiliate relationship disclosure d) Prohibit false or misleading representations

4.2 CONTENT RESTRICTIONS

  1. Prohibit defamatory statements
  2. Maintain brand integrity
  3. Provide transparent, constructive feedback
  4. Adhere to intellectual property usage guidelines

5. TECHNICAL TRACKING MECHANISMS

5.1 ATTRIBUTION

  1. Proprietary coupon-based tracking system
  2. 100% accuracy guarantee coupon usage
  3. No reliance on third-party cookie technologies

5.2 FRAUD PREVENTION

  1. Prohibition of self-purchasing
  2. Comprehensive transaction verification
  3. Advanced algorithmic anomaly detection

6. INTELLECTUAL PROPERTY RIGHTS

6.1 CONTENT OWNERSHIP

  1. Company retains exclusive rights to downloaded materials
  2. Affiliate grants irrevocable, royalty-free license for user-generated content
  3. Perpetual usage rights for promotional purposes

7. COMPLIANCE AND LEGAL OBLIGATIONS

7.1 TAX RESPONSIBILITIES

  1. Affiliate solely responsible for tax compliance
  2. No tax withholding by Company
  3. Mandatory self-reporting of income

7.2 REGULATORY ADHERENCE

  1. Compliance with Indian and international marketing regulations
  2. Prohibition of illegal activities
  3. Ethical business conduct

8. TERMINATION PROVISIONS

8.1 GROUNDS FOR IMMEDIATE TERMINATION

  1. Material breach of Agreement
  2. Fraudulent activities
  3. Repeated performance deficiencies
  4. Violation of ethical standards

8.2 TERMINATION PROCEDURE

  1. Written electronic notification
  2. Seven (7) calendar days appeal period
  3. Immediate commission forfeiture upon confirmed violations

9. LIABILITY AND INDEMNIFICATION

9.1 AFFILIATE INDEMNIFICATION

  1. Complete liability for marketing activities
  2. Unconditional indemnification to Company
  3. Continuing obligations post-account termination

9.2 LIABILITY LIMITATIONS

  1. Maximum liability limited to unpaid commissions
  2. Exclusion of consequential damages
  3. No implied warranties

10. DISPUTE RESOLUTION

10.1 JURISDICTIONAL CLAUSES

  1. Exclusive jurisdiction: Agra, Uttar Pradesh, India
  2. Governed by Indian Contract Law
  3. Arbitration under Arbitration and Conciliation Act

11. MISCELLANEOUS PROVISIONS

11.1 MODIFICATIONS

  1. Unilateral right to modify terms
  2. Thirty (30) days prior written notice
  3. Continued participation constitutes acceptance

11.2 SEVERABILITY

If any provision is deemed invalid, remaining provisions shall remain fully enforceable.
